E!Bloggers Private Member Club — Terms and Conditions

Welcome to the E!Bloggers Private Member Club ("the Club", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of our private member services, platforms, forums, and related activities, under the supervision of registered entity ECelebs ESpirits Corporation LLP. By applying for, accepting, or continuing membership in the Club, you agree to be bound by these Terms.

1. Eligibility

1.1 Membership is by invite only and is intended exclusively for influencers, content creators, and digital professionals.

1.2 You must be 18 years or older, or the legal age of majority in your jurisdiction, to apply or participate.

1.3 We reserve the right to accept, reject, suspend, or revoke membership at our sole discretion, without obligation to disclose reasons.

2. Membership Obligations

2.1 Members shall maintain professional conduct across all Club events, forums, and channels.

2.2 Members may not:

  • Impersonate others or misrepresent affiliation.

  • Post unlawful, harmful, defamatory, or offensive content.

  • Use Club platforms to spam, solicit, or promote unrelated commercial services.

2.3 Any breach of community conduct guidelines may result in immediate suspension or termination of membership.

3. Intellectual Property

3.1 The E!Bloggers name, logo, content, and all Club-related material are protected by intellectual property laws and remain our exclusive property.

3.2 Members retain ownership of content they contribute but grant the Club a non-exclusive, royalty-free, worldwide license to display, share, or repurpose that content for promotional or community-building purposes, with appropriate credit.

4. Events and Collaborations

4.1 Participation in events, collaborations, or brand activations facilitated by the Club is subject to separate terms which may include NDAs, payment agreements, or licensing clauses.

4.2 The Club is not liable for disputes arising from third-party partnerships or collaborations unless directly facilitated and governed by a written agreement with the Club.

5. Privacy & Data

5.1 We collect and process member data in accordance with our [Privacy Policy]. This includes name, contact information, social media profiles, and creator interests.

5.2 Your information may be used to personalize experiences, notify you of opportunities, or connect you with relevant members or sponsors.

5.3 We will never sell your personal data to third parties.

6. Fees and Payments

6.1 Membership may be subject to annual or one-time fees, as notified during onboarding. Some events or premium features may also be pay-to-access.

6.2 All payments are non-refundable, unless otherwise stated in writing.

7. Disclaimers

7.1 The Club does not guarantee income, sponsorship, or growth in influence from participation.

7.2 All opportunities presented are offered "as-is", and participation is at your own risk.

7.3 We are not responsible for downtime, technical issues, or loss of data related to use of our platforms or third-party services.

8. Limitation of Liability

To the fullest extent permitted by law, E!Bloggers shall not be liable for:

  • Indirect or consequential losses.

  • Damages arising from misuse of content or breach of terms by other members.

  • Issues related to external events or third-party interactions.

9. Termination

We may terminate your membership, with or without notice, for breach of these Terms, inactivity, or any reason we deem necessary to protect the integrity of the Club.

10. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of India, without regard to any conflict of law principles.

Arbitration Clause

In the event of any dispute, controversy, or claim arising out of or in relation to these Terms, including any breach, interpretation, or termination thereof, the parties shall first attempt to resolve the matter amicably through good-faith negotiations.

If the parties are unable to resolve the dispute within 30 days, such dispute shall be finally resolved by binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (as amended). The arbitration shall be conducted by a sole arbitrator appointed mutually by both parties.

The seat and venue of arbitration shall be Mumbai, India.

The language of arbitration shall be English.

The decision of the arbitrator shall be final and binding on both parties.

Jurisdiction

Subject to the above arbitration clause, the courts of Mumbai,India and India shall have exclusive jurisdiction in all matters arising out of or relating to these Terms.

11. Amendments

We reserve the right to modify these Terms at any time. Members will be notified of material changes via email or platform notice. Continued participation constitutes acceptance of the updated Terms.
